1. AGREEMENT TO TERMS
By accessing or using VTag.id services (also known as Val Arts), purchasing our products, or creating an account, you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you may not use our services.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY, DISCLAIMERS, ACCEPTABLE USE POLICIES, AND ACCOUNT TERMINATION PROVISIONS.
2. STARTUP COMPANY NOTICE
VTag.id is a startup company. By using our services, you acknowledge and agree that:
(a) Our services, features, and business operations are subject to change at any time without prior notice. (b) We may discontinue, modify, or terminate any or all services at our sole discretion. (c) Service availability is not guaranteed, and we make no promises regarding the long-term continuation of any services. (d) As a startup, we are continuously developing and improving our products and services, which may result in changes to functionality, features, or pricing. (e) We reserve the right to modify these Terms, our Privacy Policy, and any other policies at any time. We will notify you of material changes via email.
3. DESCRIPTION OF SERVICES
VTag.id provides NFC (Near Field Communication) tag products and associated hosting services, including but not limited to:
(a) NFC tags for various purposes including business cards, emergency information, pet identification, and other personal or commercial uses. (b) Cloud-based hosting services that store and deliver information when tags are scanned. (c) Web-based management interfaces for configuring tag content. (d) Various subscription tiers (free and paid) with different features and capabilities.
4. SERVICE AVAILABILITY AND LIMITATIONS
4.1 No Guarantee of Availability
OUR SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. WE DO NOT GUARANTEE CONTINUOUS, UNINTERRUPTED, OR SECURE ACCESS TO OUR SERVICES. Our servers are hosted on Amazon Web Services (AWS), which provides industry-standard up-time, but temporary outages, maintenance periods, and technical issues may occur.
4.2 NFC Technology Limitations
You acknowledge that NFC tag functionality depends on factors outside our control, including: (a) The scanning device's NFC capabilities and compatibility. (b) Internet connectivity of the scanning device. (c) Physical condition of the NFC tag. (d) Environmental factors that may interfere with NFC communication. (e) Server availability at the time of scanning.
4.3 Emergency Tags Disclaimer
FOR EMERGENCY INFORMATION TAGS: While we strive to maintain reliable service, our NFC tags and hosting services should NOT be relied upon as the sole means of communicating critical emergency information. Users of emergency tags acknowledge that: (a) Service availability is not guaranteed. (b) The scanning party may not have NFC-capable devices or internet access. (c) We are not responsible for any failure to deliver emergency information. (d) Emergency tags should supplement, not replace, traditional identification and emergency information methods.
5. ACCEPTABLE USE AND PROHIBITED CONTENT
5.1 Intended Use
Our services are intended for lawful personal and commercial purposes only. You agree to use our services only for their intended purposes, including but not limited to: sharing contact information, business networking, emergency identification, pet identification, social media linking, and other legitimate information sharing purposes.
5.2 Prohibited Content - ZERO TOLERANCE POLICY
WE MAINTAIN A STRICT ZERO TOLERANCE POLICY FOR THE FOLLOWING CONTENT. YOU AGREE NOT TO USE OUR SERVICES TO STORE, TRANSMIT, DISPLAY, OR LINK TO:
(a) CHILD SEXUAL ABUSE MATERIAL (CSAM): Any content depicting, promoting, or facilitating child sexual abuse, child pornography, or exploitation of minors in any form. This includes images, videos, text, or links to such material. (b) ILLEGAL CONTENT: Any content that violates federal, state, or local laws, including but not limited to content promoting terrorism, human trafficking, drug trafficking, or other criminal activities. (c) NON-CONSENSUAL INTIMATE IMAGES: Any intimate or sexual images of individuals shared without their consent. (d) CONTENT PROMOTING VIOLENCE: Material that promotes, glorifies, or incites violence against any individual or group. (e) HATE SPEECH: Content that promotes hatred, discrimination, or violence based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics. (f) FRAUDULENT CONTENT: Material designed to deceive, defraud, or scam others, including phishing attempts or impersonation of others.
5.3 Reporting Violations to Law Enforcement
WE COOPERATE FULLY WITH LAW ENFORCEMENT AGENCIES. If we discover or receive reports of illegal content, particularly child sexual abuse material (CSAM), we will: (a) Immediately terminate the associated account without notice or refund. (b) Preserve all relevant data and evidence. (c) Report the violation to the appropriate law enforcement agencies, including but not limited to the Federal Bureau of Investigation (FBI), the National Center for Missing & Exploited Children (NCMEC), and local law enforcement. (d) Provide all requested information and assistance to law enforcement investigations.
5.4 Reporting Mechanism
Users and the public may report tags containing prohibited or suspicious content by contacting us at [Insert Report Email]. We take all reports seriously and will investigate promptly. Reports may be forwarded to law enforcement as appropriate.
6. SECURITY AND SYSTEM ABUSE
6.1 Prohibited Security Activities
You agree NOT to engage in any of the following activities:
(a) Attempting to gain unauthorized access to our systems, servers, networks, or other users' accounts (hacking). (b) Attempting to probe, scan, or test the vulnerability of our systems or networks. (c) Attempting to breach or circumvent any security or authentication measures. (d) Interfering with or disrupting the integrity or performance of our services or the data contained therein. (e) Attempting to reverse engineer, decompile, or disassemble any portion of our services. (f) Using automated scripts, bots, or other tools to access our services in a manner that exceeds normal human usage patterns. (g) Brute force attacks, credential stuffing, or any other automated attempts to guess passwords or access credentials. (h) Denial of service attacks or any attempts to overwhelm our systems with excessive requests.
6.2 Usage Monitoring
We monitor usage patterns to ensure the security and stability of our services. This includes monitoring for: (a) Unusual or excessive tag scan requests. (b) Suspicious account activity. (c) Patterns consistent with automated abuse or attacks. (d) Any activity that deviates significantly from normal usage patterns.
6.3 Suspicious Activity Response
If we detect suspicious activity associated with your account or tags, we reserve the right to: (a) Temporarily suspend your account pending investigation. (b) Limit or restrict access to certain features. (c) Request additional verification of your identity. (d) Permanently terminate your account if violations are confirmed.
7. ACCOUNT TERMINATION
7.1 Termination for Violations
WE RESERVE THE RIGHT TO IMMEDIATELY TERMINATE ANY ACCOUNT, AT OUR SOLE DISCRETION, WITHOUT PRIOR NOTICE, FOR:
(a) Violation of any provision of these Terms of Service. (b) Posting, storing, or linking to any prohibited content as described in Section 5. (c) Engaging in any prohibited security activities as described in Section 6. (d) Suspicious activity that we believe, in our sole discretion, poses a risk to our services, other users, or third parties. (e) Any illegal activity or content. (f) Abuse, harassment, or threats directed at our staff or other users. (g) Attempting to circumvent account restrictions or bans. (h) Providing false or misleading information during registration or at any time thereafter.
7.2 Termination Without Cause
We also reserve the right to terminate any account at any time, for any reason, at our sole discretion. While we will generally provide notice and refunds for terminations without cause, we are under no obligation to do so.
7.3 Refunds Upon Termination
(a) FOR TERMINATION DUE TO VIOLATIONS: No refund will be provided for accounts terminated due to violations of these Terms, including but not limited to prohibited content or security abuse. (b) FOR TERMINATION WITHOUT CAUSE: If we terminate your account without cause (for example, due to business closure or service discontinuation), we will refund the prorated amount of any prepaid subscription fees for the unused portion of your current billing period. (c) FOR VOLUNTARY CANCELLATION: If you cancel your subscription, you will retain access until the end of your current billing period. No refunds are provided for partial billing periods.
7.4 Effect of Termination
Upon termination: (a) Your access to our services will be immediately revoked. (b) Your NFC tags will cease to function with our hosting services. (c) We may delete all data associated with your account. (d) For serious violations, we may preserve data for law enforcement purposes. (e) You remain liable for any violations that occurred before termination.
8. SERVICE DISCONTINUATION
8.1 Our Right to Discontinue
We reserve the right to discontinue, suspend, or terminate any or all services at any time, for any reason, at our sole discretion. This includes the right to shut down the entire platform if we determine that continuing operations is not financially viable or for any other business reason.
8.2 Notice of Discontinuation
In the event we decide to discontinue services, we will make reasonable efforts to: (a) Provide advance notice via email to the address associated with your account. (b) Provide a reasonable time frame for you to retrieve your data. (c) Provide instructions on how to reprogram or reuse your NFC tags with other services.
8.3 Your NFC Tags
Physical NFC tags you have purchased remain your property. Upon service discontinuation, you may reprogram these tags to use with other NFC services or for other purposes. We will provide guidance on how to do this when possible.
9. SUBSCRIPTIONS AND PAYMENTS
9.1 Subscription Plans
We offer both free and paid subscription plans. Features, limitations, and pricing for each tier are described on our website and may change at any time. Paid subscriptions are billed on a monthly basis.
9.2 Payment Processing
Payment processing is handled by third-party payment processors. We do not store your payment card information. By making a purchase, you agree to the terms and privacy policies of our payment processors.
9.3 Free Plan Limitations
Free plans are provided at our discretion and may be modified, limited, or discontinued at any time. If free plans become financially unsustainable, we reserve the right to require paid subscriptions for continued service.
10. INTELLECTUAL PROPERTY
10.1 Our Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and the VTag.id and Val Arts names and trademarks, are owned by VTag.id and are protected by intellectual property laws.
10.2 Your Content
You retain ownership of content you create and store using our services. By using our services, you grant us a license to host, store, and display your content as necessary to provide our services.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) VTAG.ID AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL. (b) OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. (c) WE ARE NOT LIABLE FOR ANY DAMAGES OR LOSSES RESULTING FROM SERVICE INTERRUPTIONS, DATA LOSS, FAILURE TO DELIVER EMERGENCY INFORMATION, OR DISCONTINUATION OF SERVICES. (d) WE ARE NOT LIABLE FOR ANY ACTIONS OR FAILURES OF THIRD PARTIES, INCLUDING PAYMENT PROCESSORS, HOSTING PROVIDERS, OR TELECOMMUNICATIONS PROVIDERS.
12. DISCLAIMER OF WARRANTIES
OUR SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless VTag.id, its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) Your use of our services. (b) Your violation of these Terms. (c) Your violation of any rights of a third party. (d) Any content you store, transmit, or display using our services. (e) Any illegal activity conducted through your account.
14. DISPUTE RESOLUTION AND GOVERNING LAW
14.1 Informal Resolution
Before filing any legal claim, you agree to contact us and attempt to resolve any dispute informally.
14.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
14.3 Limitation on Claims
Any claim or cause of action arising from or related to these Terms or your use of our services must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
15. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. We will notify you of material changes via email. Your continued use of our services after any changes constitutes acceptance of the updated Terms.

17. DATA DELETION AND ACCOUNT REMOVAL
17.1 Your Right to Delete Your Data
You have the right to request the deletion of all your personal information from our servers. To exercise this right, you must delete your account through your account settings dashboard.
17.2 How to Delete Your Account
To permanently delete your account and remove all associated data from our servers: (a) Log in to your account. (b) Navigate to Account Settings. (c) Select 'Delete Account' or 'Disable Account' option. (d) Confirm your deletion request. Upon confirmation, your account deletion will be processed.
17.3 Effect of Account Deletion
When you delete your account: (a) All personal information associated with your account will be permanently removed from our servers. (b) All NFC tag data and configurations you created will be permanently deleted. (c) Your NFC tags will no longer function with our services and will display an error or default page when scanned. (d) This action is PERMANENT and IRREVERSIBLE. We cannot recover deleted data. (e) Any active subscription will be canceled, and no refunds will be provided for the remaining billing period.
17.4 Data Retention Exceptions
We may retain certain information after account deletion as required by law, including: (a) Transaction records for tax and accounting purposes. (b) Data necessary to comply with legal obligations. (c) Information preserved for ongoing law enforcement investigations. (d) Anonymized or aggregated data that does not identify you personally.
ACKNOWLEDGMENT
BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING THE ACCEPTABLE USE POLICY, PROHIBITED CONTENT RESTRICTIONS, AND ACCOUNT TERMINATION PROVISIONS.
